Channel Management Policy

Zhejiang Uniview Technologies Co., Ltd. (hereafter referred to as “UNIVIEW”) is committed to the reliability and functionality of our products and services. Uniview shares with all cooperative partners a responsibility for maintaining a healthy and sustainable market and providing the best-in-class support to every end-user.

The Compliance Management Policy apply to every UNIVIEW ’s Cooperator, including without limitation to distributors, dealers, integrators, resellers, representatives and agents. UNIVIEW expects all third-parties with whom it does business to abide by the terms of the Compliance Management Policy as applicable to their relationship with UNIVIEW. In addition, UNIVIEW expects that each UNIVIEW ’s Cooperator will have a strong familiarity with The Compliance Management Policy and strive to uphold the principles and standards.

1. Laws & Regulations

1.1 UNIVIEW ’s Cooperators shall conduct its business in an ethical manner and follows applicable laws and regulations.

1.2 Should there be any inquiry, civil investigative demand, subpoena or request of an agency concerning UNIVIEW, UNIVIEW shall be informed immediately.

2. Regulatory compliance

2.1 Export Control Regulation

UNIVIEW ’s Cooperators shall comply with the applicable export control laws and regulations, including that of China, the United States and other countries or regions to which the cooperation is associated.

2.2 Ethical Conduct and Compliance with Law

UNIVIEW ’s Cooperators shall operate its business in accordance with integrity and impartiality and in accordance with applicable anti-corruption laws and regulations and rejects any form of corruption in the conduct of its business. In particular, the negotiation and performance of contracts must not give rise to conducts or acts that may be qualified as corruption, trading in influence, or similar and equivalent offences, both within the meaning of U.S. Foreign Corrupt Practices Act and within the meaning of the various applicable laws. UNIVIEW’s Cooperators shall refrain from directly or indirectly offering, soliciting or accepting any gift, invitation, or any other benefit that could influence or be perceived as influencing a business relationship. Gifts and invitations that may be acceptable must be of nominal value and must not be of such a nature as to influence the judgment of the person receiving them.

2.3 Competition and Antitrust

UNIVIEW ’s Cooperators undertakes to conduct its activities in compliance with the applicable competition and antitrust laws and regulations. The Distributor undertakes to promote and preserve healthy and effective competition within its environment. In particular, the Distributor undertakes neither to solicit nor to transfer any information, the communication of which would constitute an infringement of competition law.

2.4 Data Protection

UNIVIEW ’s Cooperators commits to a responsible and reasonable use of information handled and ensures the proper handling of sensitive information, including confidential, proprietary information and personal data. The information may not be used for purposes other than those for which it was provided. UNIVIEW ’s Cooperators must protect any confidential or proprietary information, including personal data, against unauthorized access, destruction, misuse, alteration and disclosure, by means of appropriate physical and electronic security procedures. In the event of a cyber-attack, UNIVIEW ’s Cooperators shall immediately notify Uniview. UNIVIEW ’s Cooperators shall comply with the applicable data protection and privacy legislation.

3. Channel management

3.1 UNIVIEW’s Cooperators shall enter into a formal cooperation agreement with UNIVIEW prior to cooperation and strictly abide by it during the cooperation period.

3.2 UNIVIEW has the right to determine the cooperation level, identity, cooperation territory and authorized products range of each Cooperator. UNIVIEW’s Cooperators shall strictly carry out business cooperation within the scope of UNIVIEW's authorization, and any behavior beyond the scope of authorization is void and may cause operational and legal risks. UNIVIEW reserves the legal right to any violation against the authorization and will not provide any warranty or support to the products involved in the foregoing behavior.

3.3 UNIVIEW has the right to release company policies, announcements and notices of market management through its official website, email notification and other means. UNIVIEW’s Cooperators shall cooperate with and comply with the relevant requirements after the release. Should there be any objection, please give feedback to UNIVIEW within three (3) days after the relevant policies, announcements or notices are published.

3.4 UNIVIEW has the right to provide Manufacturer's suggested retail price, Minimum advertised price, Dealer minimum advertised price, Suggested dealer price of the Products for UNIVIEW’s Cooperators’ reference. UNIVIEW’s Cooperators shall ensure the prices reflect favorably upon UNIVIEW’s goodwill and reputation with consideration of market health.

3.5 UNIVIEW’s Cooperators is responsible for cooperating with the market management behavior of UNIVIEW and maintain effective management of its downstream partners. Any downstream partner who conduct any violation against UNIVIEW’s policy, the Cooperator shall correct their violation within two (2) days and feedback UNIVIEW accordingly.

3.6 UNIVIEW’s Cooperators shall promptly report any violations to UNIVIEW and refuse to cooperate with any entity or individual that has been listed as an unauthorized customer or a blacklist customer in respect of  the products of UNIVIEW or providing related services.

3.7 UNIVIEW will take disciplinary actions against  any violation, including but not limited to cancelling preferential policies, cancelling authorization, downgrade cooperation level, terminating cooperation and other punitive measures. UNIVIEW reserves all legal rights in respect of the aforementioned violations. Specific violations include but are not limited to the following situations:

¨         Malicious dumping within or without the authorized territory or through online and self-owned platforms.

¨         Sell in unauthorized territory or participate in unauthorized projects.

¨         Conduct transactions with blacklisted customers or unauthorized customers clearly listed by UNIVIEW.

¨         Selling fake products /shoddy products or purchasing products from unauthorized channels.

¨         Unauthorized use or use beyond the scope of authorization of UNIVIEW’s registered trademarks, brand names, domain names, etc.

¨         Registration of UNIVIEW relevant trademarks, domain names, etc., without authorization.

¨         Other acts of unfair competition or infringement against the legitimate rights and interests of UNIVIEW.

4. Suggestions and Contacts

4.1 UNIVIEW desires that its Compliance Management Policy effectively solves and controls communicate compliance issues at all levels of UNIVIEW’s Cooperators. The Compliance Officer may periodically send out random surveys to obtain feedback on how well the Compliance Program is working. Responses may be made on an anonymous basis. Uniview will decide the evaluation criteria and amount of reward based on the results and responses of random surveys.

4.2 UNIVIEW encourages Cooperators to make suggestions to the Compliance Officer at channel@uniview.com to ensure that the Compliance Program is as effective as possible.

4.3 The Compliance Management Policy will be modified for changes in laws and regulations, or to improve compliance for Uniview Brand development. All rights of interpretation regarding to this policy are reserved by UNIVIEW.
